Terms of service
Article 1. SERVICE CONTENT
Party B provides an advertising account for Party A through the BM prepared by Party A, to carry out advertising and promotional activities for Party A’s products and services.
- Notify Party A about advertisements that violate Facebook’s regulations for timely adjustments to avoid account suspension.
- Increase the spending limit for Party A on the advertising account as per the request and corresponding deposit amount.
- Act as a mediator to resolve issues between Party A and related parties, including:
- Support in resolving advertising account issues as quickly as possible.
- Increase the spending and payment limits for accounts based on Party A’s actual needs.
- Assist Party A in appealing advertising account closures or policy violations until a final decision from Facebook is made.
Article 2. RIGHTS AND OBLIGATIONS OF BOTH PARTIES
Here are the rights and obligations of both parties to implement the service:
2.1. Rights and Obligations of Party A
- Party A has the right to select and order the type of account based on time zone and currency requirements.
- Each account granted will include 1 domain and 3 Fanpages for running ads.
- Party A is obligated to fully pay the amounts agreed upon in the contract.
Party A must provide complete information about the domain and Fanpages for Party B to verify before issuing a new account.
- Domain: During the usage period of the provided account, Party A can only run the domain registered with Party B to ensure the account is not blocked. The products on the declared domain must be clean and comply with Facebook’s advertising policies. The domain must have a complete PC and mobile interface and the following three policies:
- Fanpage: Party A must declare the Fanpage to be used for running ads. Once the account is issued, Party A cannot edit/add new Fanpages to that account. If Party A wants to create a new Fanpage within the BM, they must provide the Fanpage name and corresponding product website for approval. Note: At least 2 posts about products on the declared domain must be available on the Fanpages.
During the participation in Party B’s Business Manager system, Party A must ensure that their advertising campaigns comply with Facebook’s regulations (https://www.Facebook.com/policies/ads) and the advertising policies of the country where the ads are displayed.
- Party A agrees to let Party B review the content of advertisements as well as related media. Party A will send advertising information, including content, images, and domain (if any) to Party B for approval. After receiving confirmation from Party B, Party A can run ads on their account.
- If Party A sets up advertisements against the guidance from the support staff regarding violation content, Party A must commit via email to the supporting staff that they will accept all risks associated with the advertising account. Additionally, Party A agrees to compensate 500 USD for each account flagged for any reason after Party B has assisted in filing an appeal until a final decision from Facebook is received.
- Party A is not allowed to use the company’s and/or Facebook’s services for disrupting social order, sabotaging national security, damaging public morality, or engaging in illegal business activities.
- Party A is responsible for the authenticity of their advertising information and must resolve disputes with third parties concerning content information.
- Party A must comply with legal regulations regarding industrial property rights and copyrights.
- If Party A’s total monthly spending does not meet the minimum budget requirement as committed to Party B, Party A must compensate Party B 500 USD.
2.2. Rights and Obligations of Party B
- Party B is responsible for providing all support tools to customers as stipulated in Article 1.
- Party B commits to maintaining the confidentiality of customer product information in all forms.
- Party B is responsible for increasing the spending limit for Party A’s advertising account within 24 hours of receiving payment.
- Party B is responsible for promptly notifying Party A about advertisements that violate Facebook’s advertising regulations.
- Party B is responsible for maintaining the confidentiality and not simultaneously issuing Party A’s active account to another party under any circumstances.
- Party B is responsible for ensuring that the account issued to Party A remains active and is not suspended for any reason, except for force majeure events and/or liability exemption regulations.
- Party B will not be legally responsible for the information on websites linked from the links and advertising content of Party A.
- If Party A persists in running advertisements despite Party B’s violation notifications, Party B reserves the right to refuse to reactivate the account if it is suspended by Facebook. In this case, Party B is not obliged to refund the deposit (if any).
- Party B is responsible for compiling and documenting the actual advertising expenses of each campaign monthly.
Article 3. CONTRACT DURATION, TERMINATION, LIABILITY EXEMPTION
3.1. Contract Duration
- The standard contract duration is one (01) year. If neither party takes any action at the end of the contract term, it will be automatically renewed for the following year until both parties no longer wish to continue.
- A contract liquidation record will also be conducted if both parties terminate the contract early, and the service fee up to the termination date will be recorded.
- If the liquidation record has been signed and one of the parties has not yet fulfilled the obligations committed in the contract, the contract remains in effect until that party completes all committed obligations.
3.2. Contract Termination
This contract can be terminated in the following cases:
Party A:
- Party A has the right to immediately unilaterally terminate the contract if Party B is found to have violated Article 2.2 of the contract and demand compensation for any damages (if any).
- Party A has the right to unilaterally suspend or terminate the contract execution if Party B does not fulfill the commitments in the contract. In this case, Party B must refund the remaining deposit after deducting the previously incurred costs and obtaining Party A’s agreement.
- If there is an advertising account but Party A wants to liquidate the contract without spending money, Party A must pay a penalty of 500 USD per account, which will be deducted from the initial account deposit.
Party B:
- Party B has the right to terminate the contract and not refund the deposit to Party A if Party A intentionally violates (does not adjust despite reminders) Facebook’s regulations more than twice a month. Party B will remind customers about Facebook regulation violations through the initially agreed-upon contact method.
- Party B has the right to unilaterally suspend or terminate the contract execution if Party A does not fulfill the commitments stated in this contract.
Other Cases:
- In the event of a force majeure event (as defined by law), both parties must strive to minimize the damage and liquidate the contract. Neither party is responsible for damages caused by force majeure events.
- If one party does not wish to continue using the service, they must notify the other party at least 15 days in advance. Both parties will calculate the service fee up to the termination date. If the service fee exceeds the used cost, the excess amount will be refunded to Party A after deducting any debts to Facebook (if any). The entire process of acceptance, payment, and refund of service fees and deposits to both parties will be completed within 15 working days from the liquidation date.
4.3. Liability Exemption
- Party B is exempt from losses to campaigns such as interruptions, losses, or transmission failures in the following cases:
- Direct incidental, consequential losses, or losses defined by law.
- Losses due to technical errors or system downtime from Facebook.
- Losses due to internet transmission errors, national network infrastructure issues…
- Losses due to Party A’s violations of internet service usage, using registered websites or Fanpages for purposes of disturbing social order, sabotaging national security, damaging public morality, ethics, or engaging in illegal business activities.
